(a)-(c) Stephen A. Geiger directly owns 121,062 shares of Common Stock of the Issuer. As the sole trustee for the Geiger Family Trust, Mr. Geiger has the power to vote or direct the vote and to dispose or direct the disposition of the 1,869,804 shares of Common Stock of the Issuer held by the Geiger Family Trust. Mr. Geiger, therefore, may be deemed to have beneficial ownership of an aggregate of 1,990,886 shares of Common Stock, which constitute approximately 5.6% of the outstanding Common Stock. Mr. Geiger disclaims beneficial ownership of all shares held in the Geiger Family Trust. All of the percentages calculated in this Schedule 13G are based upon an aggregate of 35,265,019 shares of Common Stock outstanding as of December 31, 2002.
